Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") govern access to and use of the exclusive lead forwarding services, digital assets, and partner portal provided by Catalyst Digital ("Company"). By accessing our platform or enrolling as a partner contractor, you agree to comply with these Terms.

2. Exclusive Territory Grants

Catalyst Digital operates an exclusive single-partner model. Upon formal partner qualification and approval for a specific trade and service metro ("Territory"), Catalyst Digital agrees not to forward leads generated by its assets in that Territory to any other contractor for the duration of the active partnership.

• Partnership access is non-transferable without written consent from Catalyst Digital.
• Territory exclusivity is maintained provided the partner remains in good standing and maintains active dispatch availability.

3. Asset Ownership

Catalyst Digital manufactures, funds, ranks, and operates all underlying websites, phone tracking infrastructure, and marketing channels. The partner contractor acquires exclusive access to inbound leads, but acquires no ownership rights over Catalyst Digital's software, domain names, or intellectual property.

4. Billing, Lead Credits & Disputes

Lead pricing consists of a program access fee to hold exclusive territory rights plus a per-lead fee for valid delivered calls.

5. Partner Qualifications & Contractor Obligations

Partner contractors agree to maintain:

• Active, valid state/local trade licenses and permits required for the trade.
• Comprehensive general liability and workers' compensation insurance.
• Professional, prompt customer service and telephone answering during business hours.
